NCLT Clears Aster DM–Quality Care India Amalgamation

Aster DM Healthcare has announced that the National Company Law Tribunal (NCLT) has approved the proposed amalgamation between Aster DM Healthcare Limited and Quality Care India Limited. The approval was granted by the NCLT’s Hyderabad Bench through an order dated January 21, 2026.

Next steps: shareholder and creditor approvals

Following the tribunal’s approval, Aster DM Healthcare will convene meetings to obtain further consent for the scheme. Meetings of equity shareholders and unsecured trade creditors are scheduled to be held between February 27, 2026, and March 13, 2026. These meetings may take place either physically or through video conferencing and other audio-visual means.

The NCLT has waived the requirement to hold a meeting of secured creditors of the transferee company.

Quality Care India Limited, the transferor company, was incorporated on September 7, 1992, and has a paid-up share capital of Rs 3.81 billion.
Aster DM Healthcare Limited, the transferee company, was incorporated on January 18, 2008, with a paid-up share capital of Rs 5.18 billion.

Rationale behind the merger

According to the companies, the amalgamation is expected to strengthen scale and financial stability, enable diversified and prudent growth, and improve operational efficiency through the consolidation of processes, functions, and resources.
